A share certificate is essentially proof that someone (or a company) holds shares in a limited company. They must be issued as and when shares are allotted or when existing shares are transferred from one shareholder to another.
So how do you get one? Let’s take a look.
Did you form your limited company with 1st Formations?
If the answer is yes, we’ve already created share certificates for each of your subscribers (these are the shareholders at the time of incorporation). The certificate(s) will have been emailed as soon as your company formation was accepted by Companies House.
Don’t worry if you have misplaced the email. To access your company’s share certificates:
- Log in to your 1st Formations account
- Select the ‘My Companies’ option
- Click on the appropriate company name
- Select the ‘Documents’ tab
- Click on the ‘Download’ button next to ‘Share / Member Certificates’
You will immediately be presented with an online share certificate that can be downloaded or printed.
What information is included on the share certificate?
A share certificate (for a company limited by shares) should include the following information:
- Company name
- Company number
- Registered office address
- Certificate number
- Share class
- Quantity of shares
- Shareholder name
- Certification text (this includes the shareholder’s address)
- Section for a director, secretary and witness signature (a witness is required if you are the only person in the company)
- Section for the witness’s name and address
- Section for the date
The share certificate(s) we create for you is only correct up to the point of your company’s incorporation. If you make a shareholding change, new share certificates will not be made available on the system.

Fill in the necessary information and then pass the document to the shareholder, not forgetting to keep a copy for the company.
