The limited company structure allows you to appoint another company as a director, shareholder, secretary or person with significant control (PSC). This is known as a corporate appointment. The only proviso is that the company making the appointment does also have a person acting in the director role.
But what information do you need to make a corporate appointment? Let’s take a look.
Authoriser details
The authoriser is a representative from the company taking up the role, typically a director. You will need to provide the basic information below for the authoriser:
- Title
- First name
- Last name
Corporate appointment details
The exact information that you will need to provide depends on where the company was formed and what role the company is to have in the limited company making the appointment (indicated below in brackets).
If formed in the UK:
- Legal name (director, shareholder, secretary, PSC)
- Company registration number (director, secretary, PSC)
- Legal form – the legal structure of the company, for example, Ltd or LLP (PSC)
- Registered office address (director, shareholder, secretary, PSC)
- Quantity, currency, value and particulars of shares held (shareholder)
- Nature of controlling influence (PSC)
If formed outside of the UK:
- Legal name (director, shareholder, secretary, PSC)
- Company registration number – optional (director, secretary, PSC)
- Place registered – optional (director, secretary, PSC)
- Registry held location – for example, Companies House, optional (PSC)
- Law governed – for example, US law or Australian law (director, secretary, PSC)
- Legal form – the legal structure of the company, for example, Ltd or LLP (director, secretary, PSC)
- Registered office address (director, shareholder, secretary, PSC)
- Quantity, currency, value and particulars of shares held (shareholder)
- Nature of controlling influence (PSC)
